Terms of service

These Terms of Service (“Terms”) govern your access to and use of the marketDepths website and educational courses (together, the “Service”). The Service is operated by SIA “Spredd” (“marketDepths”, “we”, “us” or “our”), a company registered in Latvia (full details in our Legal Notice). By accessing the website or purchasing a course you agree to be bound by these Terms. If you do not agree, please do not use the Service.

1. Definitions

  • “Content” means all videos, text, graphics, templates and other materials made available through the Service.
  • “Course” means a paid set of educational lessons offered through the Service.
  • “Preview” means the short introductory clip made freely viewable for each Course.
  • “you” means the individual accessing or using the Service.

2. Who we are

marketDepths is an education brand operated by SIA “Spredd”, a limited-liability company registered in Latvia (full details on our Legal Notice). We are not registered with any securities regulator as a dealer, adviser, or portfolio manager. We do not provide investment advice, recommendations, signals, copy-trading, or managed accounts.

3. Eligibility

You must be at least 18 years old and able to enter into a legally binding contract to use the Service. By using the Service you confirm that you meet these requirements.

4. Education only — no financial or investment advice

All Content is provided for general educational and informational purposes only. Nothing on the Service is, or should be construed as:

  • investment, financial, trading, tax, accounting or legal advice;
  • a recommendation, solicitation or offer to buy or sell any security, currency, derivative or other financial instrument;
  • a promise or guarantee of any particular result or outcome.

You are solely responsible for your own decisions. Before trading or investing you should seek advice from an appropriately licensed professional in your jurisdiction and satisfy yourself that you understand and can bear the risks involved.

5. Risk disclosure

Trading and investing in financial markets carry a high level of risk and may not be suitable for everyone. Leverage can work against you as well as for you. Past performance is not indicative of future results. You may lose some or all of the capital you put at risk. Only ever risk capital you can afford to lose.

6. Previews, courses and pricing

Each Course includes a free Preview that anyone may watch. Full Courses are sold individually at the price displayed on the relevant page (currently a promotional launch price, shown against the standard price). Prices are stated in the currency shown and, where applicable, are inclusive of VAT. There is no automated checkout on this website; enrolment is arranged by enquiry, and the applicable price, payment method and any terms are confirmed to you in writing before any payment is taken.

7. Right of withdrawal and refunds (EU consumers)

If you are a consumer resident in the European Union, you normally have the right to withdraw from a purchase of digital content within 14 days without giving any reason. However, where digital content is supplied immediately (for example, where access to a Course begins before the end of that period), you agree that by expressly requesting immediate access — and acknowledging that you thereby lose your right of withdrawal — the 14-day withdrawal right ceases to apply once access has begun, in accordance with applicable EU consumer-protection law. Any additional refund or satisfaction arrangements will be confirmed to you in writing at the time of purchase.

8. Licence and acceptable use

Subject to your compliance with these Terms and payment of any applicable fee, we grant you a personal, limited, non-exclusive, non-transferable and revocable licence to access and view the Content for your own personal, non-commercial learning. You agree not to:

  • download, copy, record, redistribute, publish, resell or sub-licence the Content;
  • share your access with any other person;
  • scrape, frame, mirror or reverse-engineer any part of the Service;
  • misuse our forms, transmit malware, or attempt to disrupt, overload or gain unauthorised access to the Service;
  • use the Service for any unlawful, misleading or fraudulent purpose.

9. Intellectual property

All Content, together with the marketDepths name, logo, site design and underlying software, is owned by SIA “Spredd” or its licensors and is protected by copyright and other intellectual-property laws. Except for the limited licence granted above, no rights are transferred to you. Unauthorised use may give rise to civil and criminal liability.

10. Availability of the Service

We aim to keep the Service available but do not guarantee that it will be uninterrupted, error-free or secure. We may modify, suspend or discontinue any part of the Service at any time without liability.

11. Disclaimer of warranties

To the maximum extent permitted by law, the Service and all Content are provided “as is” and “as available” without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, accuracy or non-infringement. This does not affect any mandatory statutory rights you may have as a consumer.

12. Limitation of liability

To the maximum extent permitted by applicable law, we shall not be liable for any trading or investment losses, loss of profits, loss of data, or any indirect, incidental, special or consequential damages arising out of or in connection with your use of the Service or reliance on any Content. Nothing in these Terms excludes or limits our liability where it would be unlawful to do so, including liability for death or personal injury caused by our negligence, or for fraud. Where our liability cannot be excluded but may be limited, it is limited to the amount you paid us for the relevant Course.

13. Indemnity

You agree to indemnify and hold us harmless from any claims, losses or expenses (including reasonable legal fees) arising out of your breach of these Terms or your misuse of the Service.

14. Suspension and termination

We may suspend or terminate your access to the Service immediately if you breach these Terms. On termination, the licence granted to you ends and you must stop using the Content.

15. Changes to these Terms

We may amend these Terms from time to time. The date at the top of this page indicates when they were last updated. Your continued use of the Service after any change constitutes acceptance of the revised Terms.

16. Third-party links

The Service may contain links to third-party websites or resources. We are not responsible for the content, products or practices of those third parties, and access to them is at your own risk.

17. Force majeure

We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including acts of God, power or network outages, or the acts or omissions of third-party providers.

18. Severability and waiver

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect. Our failure to enforce any provision is not a waiver of it.

19. Entire agreement

These Terms, together with our Privacy Policy and Legal Notice, constitute the entire agreement between you and us regarding the Service.

20. Governing law and jurisdiction

These Terms are governed by the laws of the Republic of Latvia, where SIA “Spredd” is registered. The courts of Latvia shall have jurisdiction over any dispute, save that, if you are a consumer, this does not deprive you of the protection of any mandatory provisions of, or of the right to bring proceedings in the courts of, your country of residence under applicable EU law.
